Jakarta, February 28, 2010 – Perusahaan Perseroan (Persero) PT Telekomunikasi Indonesia, Tbk. ("TELKOM") through its subsidiary, PT Multimedia Nusantara or METRA, has made a signing of Sales Purchase Agreement (SPA) for acquisition transaction of 75% share amounting to Rp 128.25 billions of PT. Administrasi Medika (AdMedika), a PMA (=foreign capital company) engaged in Electronic Health Care Network which is a third party administrator (TPA) combining application of claim process and online data service between policy holder and health insurance administration service.
Admedika is a company connecting insurance company, health service provider and health insurance participant. Admedika provides such service as electronic participating card, online claim data management, claim verification, monitoring of billing delivery from health service provider, monitoring of hospitalization case made by specialists and professional medical practitioners and paramedics.
AdMedika has 24/7 service (24 hours a day, 7 days a week) to help health insurance participants when needing health service and also help health service provider in giving service according to the regulations applied on each health insurance policy. Admedika established on January 8, 2002 is a market leader for TPA service having 1.2 millions of policy holders, having clients over 30 insurance companies, and 717 hospitals, clinics, public health center, etc.
This is a strategic acquisition for Telkom related to the realization of TELKOM initiative program to form InSureNet (Indonesia Insurance Shared Service Platform), a platform of TELKOM service for insurance sector, starting from IT infrastructure to support e-Health and the whole Natiomal e-Claim Insurance. InSure Net is a platform of collaboration and online transaction to improve effectiveness, productivity, and insurance institution service quality.
Signing of Sales Purchase Agreement of 75% Admedika share has been made on February 25, 2010 in Jakarta between PT Multimedia Nusantara (METRA) and owner of Admedika. SPA is signed by President Director of METRA Alex J. Sinaga and Share holder of AdMedika represented by Sofian Sutantio, Ravi Varna Kanason, and Shia Kok Fat, and witnessed by CEO TELKOM Rinaldi Firmansyah and EVP Strategic Investment Corporate Planning TELKOM David Burke in Jakarta. With the major share 75%, TELKOM through METRA has a right to make full handling to AdMedika.
